Terms of Service

These Terms of Service ("Terms") govern your access to and use of OmniFi's website, waitlist, interfaces, dashboards, applications, and related features that link to these Terms (collectively, the "Services").

OmniFi provides interface, routing, access, and informational functionality for digital asset activities such as swaps, bridging, spot trading, perpetual trading, and related workflows. OmniFi does not itself operate an exchange, bridge, market, wallet, custodian, or settlement network. Many features available through the Services rely on independent third parties such as Hyperliquid, LI.FI, Privy, wallet providers, blockchain networks, and other partners.

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services. If you use the Services on behalf of an entity, you represent that you have authority to bind that entity to these Terms.

Eligibility

You may use the Services only if you are at least 18 years old and your use of the Services is permitted by applicable law.

  • You must not use the Services if you are prohibited by sanctions, trade restrictions, or other legal requirements.
  • You are solely responsible for ensuring that your access to and use of the Services is lawful in every jurisdiction relevant to you.
  • You are responsible for all taxes, reporting obligations, and compliance duties that may apply to your activity.

Nature of the Services

OmniFi provides a user interface and access layer only. OmniFi may help you discover, compare, route, or connect to third-party services, but OmniFi does not take possession of your assets or execute transactions as principal.

  • OmniFi does not custody digital assets or store your private keys, seed phrases, or wallet credentials.
  • OmniFi does not control the availability, accuracy, execution, security, or performance of third-party protocols, trading venues, bridges, wallets, or infrastructure providers.
  • Any transaction you submit is your decision, and you are solely responsible for reviewing the asset, chain, route, venue, leverage, fees, slippage, price impact, timing, and other transaction details before proceeding.

User Responsibilities and Acceptable Use

You agree to use the Services responsibly and only for lawful purposes.

  • Do not use the Services for unlawful, fraudulent, deceptive, abusive, or manipulative conduct.
  • Do not interfere with the operation, security, or integrity of the Services, including through hacking, probing, scraping, reverse engineering, or unauthorized automation.
  • Do not misrepresent your identity, affiliation, or authority, or submit information that is false or misleading.
  • Keep your devices, wallets, accounts, credentials, and approvals secure. You are responsible for any activity that occurs through tools under your control.
  • Review the terms, privacy notices, documentation, and risk disclosures of any third-party provider you choose to use through OmniFi.

Third-Party Services

The Services may integrate with, connect to, or display information from third-party products and infrastructure. These third parties operate independently from OmniFi.

  • Your use of third-party services is subject to their own terms, conditions, and privacy policies.
  • OmniFi is not responsible for third-party acts, omissions, downtime, outages, insolvency, security incidents, policy changes, blocked transactions, failed settlements, or other losses caused by third-party services.
  • OmniFi may add, remove, suspend, or change integrations at any time without guaranteeing continued access to any provider or feature.

Intellectual Property and Feedback

As between you and OmniFi, OmniFi and its licensors own all right, title, and interest in the Services, including associated software, content, branding, and intellectual property rights. Subject to these Terms, OmniFi grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for your personal or internal business use.

If you provide feedback, ideas, or suggestions about the Services, OmniFi may use them without restriction or compensation to you.

Privacy

Your use of the Services is also subject to our Privacy Policy.

Disclaimers and Risk Acknowledgement

The Services involve significant risk. You acknowledge and accept those risks when using OmniFi.

  • OmniFi does not provide financial, investment, legal, tax, accounting, or other professional advice.
  • Digital asset markets are volatile, and losses may be rapid, substantial, or total.
  • Bridging, swapping, spot trading, perpetual trading, leverage, smart contracts, and blockchain activity involve technical, market, liquidity, counterparty, and regulatory risks.
  • Transactions may fail, execute late, execute at unfavorable prices, be front-run, be liquidated, be delayed by congestion, or become irreversible once submitted.
  • Public blockchains, wallets, protocols, and third-party providers may contain bugs, vulnerabilities, outages, forks, exploits, governance failures, or insolvency events.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNIFI DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY.

Limitation of Liability

To the maximum extent permitted by law, OmniFi and its affiliates, licensors, service providers, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, digital assets, or business opportunities arising out of or related to the Services.

To the maximum extent permitted by law, the total liability of OmniFi for any claim arising out of or relating to the Services or these Terms will not exceed the greater of (a) USD 100 or (b) the amount you paid directly to OmniFi, if any, for the Services in the six months before the event giving rise to the claim.

Indemnification

You agree to defend, indemnify, and hold harmless OmniFi and its affiliates, personnel, licensors, and service providers from and against claims, liabilities, damages, judgments, losses, costs, and expenses arising out of or related to your use of the Services, your violation of these Terms, or your violation of law or third-party rights.

Suspension, Termination, and Changes

OmniFi may modify, suspend, restrict, or discontinue any part of the Services at any time, with or without notice. We may also suspend or terminate your access if we believe it is necessary to protect the Services, comply with law, or address misuse.

We may update these Terms from time to time. When we do, we will update the "Last Revised" date above. By continuing to use the Services after updated Terms become effective, you agree to the revised Terms.
